Welcome to Mindflex Leadership (Owned and Operated by Entendéo Limited). These Terms and Conditions govern the use of our online services and products, including the 7-module training course Great Work Relationships, renewable memberships, and coaching packages. These terms apply to all users worldwide, and by purchasing or using our products, you agree to be bound by these terms.
Any new products, services features or tools which are added to the current Services shall be also subject to the Terms of Service.

You must read, agree with and accept all of the terms and conditions contained in this Terms of Service agreement, as well as Mindflex Leadership Privacy Policy, incorporated herein by reference, before you use the Services or create a Mindflex Leadership account (“Account”).

1. Definitions
• Company: Entendéo Limited trading as Mindflex Leadership, a business registered in the United Kingdom with Company Number 7919121 and registered office at 8 Balston Road, Maidstone, Kent, ME14 1GX. The company will be referred to as Mindflex Leadership in these Terms of Service
• Platform: The Mindflex Leadership website or any other platforms through which we sell our products.
• User/Customer: Anyone purchasing or accessing our training courses, memberships, or coaching services.
• Products: Any services or digital content sold by Mindflex Leadership, including but not limited to training courses, memberships, and coaching services.
2. Eligibility
By purchasing or using our products, you confirm that you are:
• At least 18 years old.
• Legally capable of entering into binding contracts.
• Providing accurate personal details when purchasing any product.
3. Product Descriptions and Modifications
• All product descriptions are accurate at the time of posting. However, Mindflex Leadership reserves the right to modify course content, coaching programs, and membership offerings at any time.
• We are not liable for any perceived discrepancies between the descriptions and the actual product provided .
4. Pricing and Payment
• Prices for our products are displayed on our platform and are subject to change at any time. However, any price changes will not affect products already purchased.
• Payments must be made in full at the time of purchase via the available payment methods on our platform.
• You are responsible for any taxes applicable in your country, in addition to the price of the product. Where applicable VAT will be added to the price of the product.
• Mindflex Leadership does not provide refunds for any reason.
• Prices for monthly plans are subject to change upon 30 days notice from Mindflex Leadership. Such notice may be provided at any time by posting the changes to the Mindflex Leadership site (Mindflexleadership.com)
• Mindflex Leadership reserves the right at any time to modify or discontinue the Services (or any part thereof) with or without notice.
• Mindflex Leadership shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Services.
• You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. All payments shall be in GBP or USD.
• Where a subscription is payable, the subscription will continue and automatically renew unless cancelled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle is annual.
5. Intellectual Property
• All content provided within our products, including videos, text, graphics, and downloadable materials, are the exclusive intellectual property of Mindflex Leadership. You may not copy, distribute, modify, or sell any of the content without our prior written permission.
• Any breach of our intellectual property rights will result in immediate termination of access to our products, and we reserve the right to take appropriate legal action.
• Any ideas, suggestions, concepts, processes, techniques, questions, answers, codes/scripts, and other comments related to our services, site, proposed services, documentation or business (“Feedback”) that you provide to Mindflex leadership will be owned by Mindflex Leadership and you hereby waive any claim you have to ownership, compensation, monetary or otherwise, for providing the Feedback and for Mindflex Leadership’s use of your Feedback.
• You hereby grant Mindflex Leadership a non-exclusive right to use your trade-names, trademarks, service marks, trade dress and logos to promote the Mindflex Leadership service.
• We will not disclose your Confidential Information to third parties, except as required in the course of providing our Services. “Confidential Information” includes any materials or information provided by you to us which is not publicly known.
Confidential Information does not include information that:
(a) was in the public domain at the time we received it;
(b) comes into the public domain after we received it through no fault of ours;
(c) we received from someone other than you without breach of our or their confidentiality obligations; (d) we are required by law to disclose; or
(e) that you have given your consent or instructed us to disclose.
6. License to Use
• Upon purchasing any product, you are granted a non-exclusive, non-transferable license to use the product for personal and professional purposes.
• You may not:
1. resell or share your access to our products with third parties without our written consent.
2. reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without our express written permission.
3. misuse the Services by interfering with their normal operation, or attempting to access them using a method other than through the interfaces and instructions we provide;
4. purchase search engine or other pay-per-click keywords (such as Google AdWords), or domain names that use Mindflex Leadership or Mindflex Leadership logos and branding and/or variations and misspellings thereof;
5. circumvent or attempt to circumvent any limitations imposed on your account.
6. probe, scan, or test the vulnerability of any Mindflex Leadership system or network, unless we have given you prior written authorisation.
7. use the Services to infringe the Intellectual Property Rights of others, or to commit any unlawful activity.
8. attempt to circumvent any license, timing or use restrictions that are built into the Services
9. lend, resell, lease or sublicense or otherwise use the Services for the benefit of a third party, unless we have given you prior written authorization
10. Delete the copyright or other proprietary rights notice from any Content.
11. Attempt to impersonate another user or person or use the username of another user.
12. Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ('gifs'), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as 'spyware' or 'passive collection mechanisms' or 'pcms').
13. Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
14. Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
15. Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
16. Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
17. Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavour or commercial enterprise.
18. Sell or otherwise transfer your profile.
19. Use the Services to advertise or offer to sell goods and services.
7. Guidelines for reviews
• We may provide you areas on the Services to leave reviews or ratings. When posting a review, you must comply with the following criteria: (1) you should have firsthand experience with the person/entity being reviewed; (2) your reviews should not contain offensive profanity, or abusive, racist, offensive, or hateful language; (3) your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability; (4) your reviews should not contain references to illegal activity; (5) you should not be affiliated with competitors if posting negative reviews; (6) you should not make any conclusions as to the legality of conduct; (7) you may not post any false or misleading statements; and (8) you may not organise a campaign encouraging others to post reviews, whether positive or negative.
• We reserve the right to accept, reject, or remove reviews at our discretion. We are not obligated to screen or delete reviews, and they are not necessarily endorsed by us. We do not assume liability for any reviews or related claims. By posting a review, you grant us the right to use the content.
8. Cancellation
Where you have signed up for a regular subscription you can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. 9. Disclaimer of Warranties
• All products are provided "as is" without any warranties, express or implied, including but not limited to warranties of quality, fitness for a particular purpose, or non-infringement.
• While we aim to ensure the highest quality and effectiveness of our training, memberships, and coaching packages, we cannot guarantee any specific results from the use of our products.
10. Limitation of Liability
• To the fullest extent permitted by law, Mindflex Leadership shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or any other interaction with our company.
• Our total liability for any claim arising out of or relating to these terms or the use of our products shall be limited to the amount you paid for the product in question.
• Mindflex Leadership does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.
• Mindflex Leadership does not warrant that the quality of any products, Services, information, or other material purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected.
• In no event will Mindflex Leadership total liability for all claims of any kind, including any claims arising out of or related to this agreement, whether by statute, contract, tort, or under any other theory of liability, exceed the lesser of: the fees paid by you for the Mindflex Leadership services hereunder during the one (1) month period immediately preceding the date on which the cause of action arose or £100 GBP.
11. User Obligations
1. You agree not to engage in any unlawful activity or activity that could harm the reputation of Mindflex Leadership, our products, or other users.
2. You are responsible for ensuring that your use of our products complies with local laws and regulations in your jurisdiction.
3. You are responsible for keeping your password secure.
4. Mindflex Leadership cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.
5. You are responsible for all activity and content such as videos, files, data, graphics, photos and links that is uploaded to your Mindflex Leadership account (“Content”).
12. Account Activation
• The person signing up for the Services will be the contracting party (“Account Owner” OR "User") for the purposes of our Terms of Service and will be the person who is authorised to use any corresponding account we may provide to the Account Owner in connection with the Services.
• If you are signing up for the Services on behalf of your employer, your employer shall be the Account Owner. If you are signing up for the Services on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to our Terms of Service.
• You have to use your own information to create a valid Mindflex Leadership Account and you are responsible for the details of that account.
13. Privacy and Data Protection
• We collect, store, and process your personal data in accordance with our Privacy Policy and in compliance with the General Data Protection Regulation (GDPR) and any other applicable data protection laws.
• By using our products, you consent to the collection and use of your personal data as outlined in our Privacy Policy: mindflexleadership.com/privacy-policy
• By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Please be advised the Services are hosted in the United Kingdom. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United Kingdom, then through your continued use of the Services, you are transferring your data to the United Kingdom, and you expressly consent to have your data transferred to and processed in the United Kingdom.
• You acknowledge that Mindflex Leadership will use the email address you provide as the primary method for communication.
14. Termination
• We reserve the right to terminate your access to our products or any part of our platform without notice if we reasonably believe you are in breach of these Terms and Conditions.
• Upon termination, any outstanding payments for services already rendered will become immediately due.
15. Electronic Communications, Transactions, and Signatures
• Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing.
• YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES.
• You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
16. Governing Law and Jurisdiction
• These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
• Any disputes arising from these Terms and Conditions, or your use of our products will be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Amendments to Terms
• We reserve the right to amend these Terms and Conditions at any time. Any amendments will be posted on our website and will take effect immediately upon posting.
• Continued use of our products after amendments have been made constitutes your acceptance of the revised terms.
